14. Governing Law & Dispute Resolution

- Tier 1 — Mediation & Conciliation: Parties shall attempt resolution through mediation within 30 days, governed by the Mediation Act, 2023, at Dehradun. The mediator shall be appointed solely by Uttarakhand Loans.
- Tier 2 — Arbitration: Unresolved disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with seat at Dehradun. The sole arbitrator shall be appointed solely by Uttarakhand Loans.
- Tier 3 — Courts: Jurisdiction shall vest exclusively in the courts at Dehradun, Uttarakhand, India for matters not capable of arbitration or requiring urgent interim relief.
